  • Exec files civil suit over POTC appointments

    AN official of the Philippine Communications Satellite Corp. (Philcomsat) and Philippine Overseas Telecommunications Corp. (POTC) filed a civil case with the Sandiganbayan against the Presidential Commission on Good Government (PCGG) and an official of the Presidential Management Staff (PMS).

    Concepcion Poblador, director and vice president of Philcomsat and POTC, asked the antigraft court to stop the PCGG and PMS Undersecretary Enrique Perez from naming government nominees in the boards of Philcomsat and POTC and nullify their previous stockholders’ meeting.

    Poblador, whose family owns 1,675 shares of the POTC which represents roughly 12.38 percent, had accused PCGG chairman Camilo Sabio and Perez of “illegally” appointing nominees in the boards of directors of the two firms through an illegal stockholder’s meeting on November 19, 2007.

    “It is patent that the stockholders’ meetings were illegal, as they were not called, authorized or convened by the legitimate boards of POTC and Philcomsat. No such meeting or election was held by POTC and Philcomsat, and the matter was not even taken up by their respective boards, where plaintiff sits as director,” she said in her suit.

    Those whose appointments were questioned include Santiago Rañada, Daniel Gutierrez and Allan Montano to POTC; and Abraham Abesamis, Rodolfo Serrano and Ramon Jacinto to Philcomsat.

    Philcomsat is a telecommunications company that was sequestered by the PCGG on March 14, 1986 on claims that it was part of the ill-gotten wealth of associates of the late dictator, the former President Ferdinand Marcos.

    The firm is a wholly owned subsidiary of POTC. Poblador claimed that the PCGG did not even inform the boards of the Philcomsat and POTC about the letters of President Arroyo where she expressed her intention to replace the present government nominees, Guy de Leon, Enrique L. Locsin, Manuel D. Andal and Julio J. Jalandoni.

    Locsin and Andal sit in both boards while de Leon has a seat in POTC and Jalandoni in Philcomsat.

    In naming Perez a defendant in the case, Poblador said the Malacañang official usurped the functions of the PCGG by installing Mrs. Arroyo’s nominees to the boards. Poblador asked the court to issue an injunction for the PCGG, Perez and the new appointees not to make any transaction on behalf of POTC and Philcomsat, particularly in disbursing any funds.

    She also prayed for the nullification of the appointments and the November 19 stockholders’ meeting. Poblador also asked for a full inspection of both companies’ financial records by an external auditor and said she is prepared to post a bond to the amount to be determined by the court.
